These Terms of Service (the “Terms”) form a binding agreement between you and Village Technology Services, LLC (“Village,” “we,” “us,” or “our”), a Delaware limited liability company. They govern your access to and use of the Village websites, mobile apps, text-messaging services, and related tools (together, the “Platform”). Please also read our Privacy Policy and Terms of Use, which are part of these Terms. By creating an account or using the Platform, you agree to all three.
1. Acceptance of Terms
By creating an account, checking a box that references these Terms, or otherwise accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Platform on behalf of a business, you represent that you are authorized to bind that business, and “you” includes that business. If you do not agree, do not use the Platform.
2. Eligibility
Village serves three groups of users:
- Customers (Homeowners) must be at least 18 years old.
- Adult Providers must be at least 18 years old.
- Minor Providers aged 16–17 may use the Platform only with a completed parental/guardian co-signature and consent (see Sections 6 and 7). The consenting parent or guardian must be at least 18 years old.
The Platform is not directed to, and may not be used by, anyone under 16. You may only use the Platform if you can form a legally binding contract with us and are not barred from doing so under applicable law.
3. Account Registration
You must provide accurate, current, and complete information when you register and keep it up to date. You may hold only one account per person. You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly at will@jobsonvillage.com if you suspect unauthorized use.
4. The Village Marketplace
Village operates a lead-generation marketplace that connects Customers with independent Service Providers for residential home services, using an AI concierge for request intake and matching, plus tools for storefronts, quotes, invoices, and messaging. Village is a technology platform, not a home-services company. We do not perform home services, do not employ Providers, do not supervise or control the work, and are not a party to any agreement between a Customer and a Provider. Any contract for services is solely between the Customer and the Provider.
Each Provider is the merchant of record for the services they sell to Customers. This means the Provider — not Village — is the seller of those services and is solely responsible for the sale, including setting prices, delivering the service, honoring any guarantees, handling returns, refunds, chargebacks, and service disputes, and collecting and remitting any applicable sales or other taxes. Village provides technology and payment-facilitation tools (including Stripe) to help Providers accept payment, but does not buy or resell any Provider’s services and is not the merchant of record for them.
5. Independent Contractor Relationship
Providers are independent, self-employed contractors — not employees, agents, partners, or joint venturers of Village. Nothing in these Terms creates an employment relationship. As an independent contractor, each Provider:
- controls their own hours, prices, equipment, and which jobs to accept or decline;
- is solely responsible for their own taxes and receives a 1099 tax form (where applicable) at year-end rather than a W-2;
- is solely responsible for the quality, safety, and legality of their own work;
- is strongly encouraged to carry appropriate liability and other insurance; and
- may work for other platforms, customers, or businesses at the same time.
Village does not guarantee any Provider a minimum number of leads, jobs, or earnings.
6. Minor Provider Terms (Ages 16–17)
A Provider aged 16–17 (a “Minor Provider”) may operate on the Platform only after a parent or legal guardian completes the co-signature and consent process. By using the Platform, the Minor Provider and their parent/guardian agree that:
- a parent/guardian must co-sign and consent before the Minor Provider can accept jobs;
- the parent/guardian is the legal account holder for payment processing (the Stripe account is in the parent/guardian’s name);
- the parent/guardian receives notifications for jobs accepted, completed, and paid;
- the Minor Provider is self-employed and responsible for their own self-employment taxes;
- the Minor Provider is responsible for the quality and safety of their own work; and
- the parent/guardian may revoke consent at any time, which closes the account to new jobs.
7. Parent / Guardian Terms
If you co-sign for a Minor Provider, you agree to these Terms on the Minor Provider’s behalf and in your own capacity. You acknowledge that:
- your consent permits the teen to operate a self-employed business on Village — it does not make Village the teen’s employer;
- you are the legal payment account holder and payments are made to your Stripe account;
- you will receive notifications for every job acceptance, completion, and payment;
- you may revoke consent at any time; and
- if the teen damages property, is injured, or is subject to a claim, liability may fall on the teen and potentially on you, and Village is not responsible for the teen’s work.
8. Provider Obligations
Each Provider agrees to:
- keep an accurate profile and describe services truthfully;
- perform only lawful services and comply with all applicable licensing, permitting, tax, and safety requirements;
- conduct themselves professionally and treat Customers with respect; and
- obtain and maintain any insurance appropriate for their trade.
9. Customer Obligations
Each Customer agrees to:
- provide accurate information about themselves and the requested service;
- treat Providers respectfully and provide safe access to the work site; and
- pay agreed amounts on time.
Village does not conduct background checks or criminal/registry screening of Customers or Providers and does not verify the identity, qualifications, licensing, or insurance of any user. You are responsible for independently verifying anyone you deal with.
10. Fees and Payments
Current fees, subscription prices, and platform (booking) fees are displayed in the app and at checkout before you incur them, and may change with notice as described in Section 21. By making a purchase you agree to the amounts shown to you at that time. All amounts are in U.S. dollars unless stated otherwise. In general:
- Subscriptions. Paid tiers are billed on a recurring monthly basis and renew automatically until cancelled (see below and the Terms of Use).
- Platform (booking) fee. Village charges a platform fee on transactions processed through the Platform, at the rate shown in the app.
Beta pricing
The Platform may currently be offered in a beta period during which some or all fees (including subscription and platform fees) are waived or reduced. The prices in effect for you are always those shown in the app at the time of purchase.
Auto-renewal and cancellation
Paid subscriptions automatically renew at the end of each billing period and your payment method is charged for the next period unless you cancel first. You can cancel anytime in your account settings; cancellation takes effect at the end of the current period, and access continues until then. Except where required by law, fees already paid are non-refundable and we do not provide refunds for partial billing periods.
11. Escrow and Payment Processing
Payments are processed by Stripe, Inc. Village does not store full payment card numbers. For transactions processed through the Platform, funds may be held and released in accordance with the release conditions shown at the time of booking. Your use of payment features is also subject to Stripe’s applicable terms. Disputes about a specific transaction are primarily between the Customer and the Provider; Village may, but is not obligated to, help facilitate a resolution.
12. AI-Powered Services
Village uses artificial intelligence (including models provided by Anthropic) to classify Customer requests and generate conversational responses. AI output can be inaccurate or incomplete. Village does not guarantee the accuracy of any AI classification or matching and is not responsible for decisions you make based on AI output. Customers should independently verify a Provider’s qualifications, licensing, and insurance. You may contact us to request human review of an AI-driven decision that affects you.
13. Text Messaging (SMS / iMessage / RCS)
By texting the Village number (+1 (404) 918-2012) or providing your phone number during signup or use of the Platform, you consent to receive text messages from Village and its messaging provider (Blooio) at that number, including messages sent by an automated system.
- Message types: transactional and service messages such as lead notifications, provider cards, quote and invoice delivery, appointment reminders, and account notifications, plus conversational replies from our AI concierge.
- Frequency: message frequency varies based on your activity.
- Opt-out: reply STOP to any message to unsubscribe; reply HELP for help.
- Rates: message and data rates may apply.
- No marketing spam: we will not send promotional/marketing text messages without your separate opt-in. Carrier delivery is not guaranteed.
For messaging support, contact will@jobsonvillage.com or the Village number above.
14. Intellectual Property
Village owns the Platform and all related software, branding, and content we provide, except for content you submit. You keep ownership of the content and photos you upload, and you grant Village a non-exclusive, worldwide, royalty-free license to host, display, and use that content for operating and promoting the Platform. You are responsible for having the rights to any content you upload.
15. Prohibited Conduct
You agree not to:
- engage in fraud, harassment, discrimination, or unlawful activity;
- circumvent the Platform to avoid fees, or transact off-platform to evade our tools;
- post false, misleading, or fake reviews;
- scrape, reverse-engineer, or interfere with the Platform or its security; or
- send spam or upload malicious code.
16. Dispute Resolution and Arbitration
Disputes between users
Disputes between Customers and Providers are between those users. Village is not responsible for and is not a party to such disputes, though we may choose to help facilitate a resolution.
Disputes with Village — binding arbitration
Please read this section carefully — it affects your legal rights. You and Village agree that any dispute arising out of or relating to these Terms or the Platform will be resolved by final and binding individual arbitration, rather than in court, except that either party may bring an individual claim in small-claims court. You and Village waive the right to a jury trial and the right to participate in a class action or class-wide arbitration.
30-day right to opt out
You may opt out of this arbitration agreement by emailing will@jobsonvillage.com with the subject “Arbitration Opt-Out” within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the courts identified in Section 22.
17. Disclaimers and Limitation of Liability
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW. Village does not guarantee the quality, safety, or legality of services offered by Providers, the accuracy of AI classification, or that Providers will be available in your area, and Village does not endorse any user.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VILLAGE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR PROPERTY DAMAGE OR INJURY ARISING FROM SERVICES PERFORMED BY PROVIDERS. VILLAGE’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE PLATFORM IS LIMITED TO THE GREATER OF THE FEES YOU PAID TO VILLAGE IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).
18. Indemnification
You agree to indemnify and hold harmless Village and its officers, members, and employees from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Platform, your content, your services, or your violation of these Terms or applicable law.
19. Termination
We may suspend or terminate your access at any time for any reason, including violation of these Terms. You may stop using the Platform and close your account at any time. On termination, pending transactions may be completed or cancelled as appropriate. Sections that by their nature should survive termination (including fees owed, IP, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
20. Account Deletion and Data Retention
You can request deletion of your account in your account settings or by emailing will@jobsonvillage.com. We will delete or de-identify your personal data as described in our Privacy Policy, except for information we must keep to meet legal, tax, or accounting obligations (for example, financial records retained for approximately seven years for IRS/1099 purposes). See the Privacy Policy for full retention periods.
21. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-app notice) before they take effect. Your continued use of the Platform after changes take effect means you accept the updated Terms.
22. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Subject to the arbitration agreement in Section 16, you and Village agree to the exclusive jurisdiction and venue of the state courts located in New Castle County, Delaware, or the U.S. District Court for the District of Delaware.
