1. Acceptance of Terms
By creating an account on Village, accessing the Village website or application, or texting the Village phone number, you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Terms of Use (collectively, the "Agreement"). If you do not agree to all of these terms, do not use Village.
These Terms constitute a legally binding agreement between you and Village Technology Services, LLC, a Delaware limited liability company ("Village," "we," "us," or "our").
2. Eligibility
To use Village as a Customer (homeowner), you must be at least 18 years old.
To use Village as an adult Provider (service professional), you must be at least 18 years old.
To use Village as a Minor Provider, you must be at least 16 years old and have a parent or legal guardian who has completed our co-signature agreement and consented to these Terms on your behalf. See Section 6 and Section 7.
To use Village as a Parent or Guardian of a Minor Provider, you must be at least 18 years old.
By using Village, you represent and warrant that you meet the applicable eligibility requirements and that all information you provide is accurate and complete.
3. Account Registration
To access Village's features, you must create an account by providing accurate, current, and complete information including your name, email address, and phone number. Village does not collect your date of birth. At account creation, we only collect whether you are an adult or a minor (for age-appropriate features and eligibility). You agree to:
- Maintain the accuracy of your account information and update it promptly if it changes.
- Keep your login credentials confidential and not share them with any other person.
- Notify us immediately at will@jobsonvillage.com if you suspect unauthorized access to your account.
- Maintain only one account per person. Creating multiple accounts may result in suspension or termination.
You are responsible for all activity that occurs under your account, whether or not you authorized it.
4. The Village Marketplace
Village is a technology platform that operates a marketplace connecting homeowners who need residential services ("Customers") with independent service professionals ("Providers").
Village is not a service provider. Village does not perform, supervise, direct, or control any home services. Village does not employ any Providers. Village is not a contractor, subcontractor, employer, joint employer, or agent of any Provider.
Village is not responsible for the work performed by Providers. The quality, safety, timeliness, legality, and completion of services are solely the responsibility of the Provider performing the work. Village does not guarantee, endorse, or warrant any Provider's qualifications, background, licensing, or insurance.
Village facilitates connections. Village uses technology—including artificial intelligence—to classify homeowner requests, match them with relevant Providers, and deliver Provider profiles ("cards") to Customers. The decision to hire, the terms of any engagement, and the work itself are solely between the Customer and the Provider.
5. Independent Contractor Relationship
YOU ARE INDEPENDENT. YOU ARE NOT AN EMPLOYEE.
If you are a Provider on Village, you acknowledge and agree to the following:
a. Village does not employ you. You are a self-employed service provider running your own business. You control your own hours, set your own prices, choose which jobs to accept, use your own equipment, and may work for other platforms or clients simultaneously. Village is a marketplace platform—not your employer.
b. You are responsible for your own taxes. As a self-employed person, you are responsible for all applicable federal, state, and local taxes, including self-employment tax. You will need to file Schedule C on your 1040 and pay self-employment tax. Village will issue a 1099-NEC at year-end for earnings that meet the applicable IRS reporting threshold. We recommend setting aside 25 to 30 percent of your earnings for federal and state taxes.
c. You are liable for your own work. Village provides a marketplace and payment escrow, but you are responsible for the quality, safety, legality, and professional standards of your services. If a customer sues you, the claim is against you—not Village. We strongly recommend that you carry appropriate liability insurance.
d. You control the means and manner of your work. Village does not instruct you on how to perform services, does not provide tools or equipment, and does not set your schedule. You are free to accept or decline any job at your sole discretion.
e. You agree to our Provider Terms of Service. By joining Village, you accept our platform terms, payment terms, and dispute resolution process. These terms are binding and enforceable.
f. No benefits or protections of employment. You are not entitled to any employee benefits, including but not limited to health insurance, workers' compensation, unemployment insurance, retirement benefits, or paid time off from Village. You are solely responsible for obtaining your own benefits and insurance.
6. Minor Provider Terms (Ages 16–17)
If you are a Provider between the ages of 16 and 17, the following additional terms apply:
a. You are running your own business—with your parent's permission. You are operating as a self-employed service provider, just like an adult Provider. You set prices, choose jobs, control your schedule, and build your reputation. Village is the marketplace platform—not your employer.
b. A parent or guardian must co-sign. Because you are under 18, a parent or legal guardian must complete our co-signature agreement before you can join. This does not mean they control your business—it means they are legally consenting to your participation and will be notified when you have jobs.
c. Your parent is the legal payment account holder. For payment processing, your parent will be the official Stripe account holder. You can see your earnings in real time on your Village dashboard, but the account is in your parent's name for legal reasons.
d. Taxes are still your responsibility—with help. You are still self-employed and you will still owe self-employment tax. At the end of the year, we will help you and your parent export your 1099 data so you can file correctly.
e. You are liable for your own work. Just like adult providers, you are responsible for the quality and safety of your services. If there is a problem, it is on you. We recommend talking with your parent about liability insurance before you start taking big jobs.
f. Your parent consents to these terms. By submitting the co-signature agreement, your parent is legally consenting to these terms on your behalf. These terms are binding.
7. Parent and Guardian Terms
If you are the parent or legal guardian of a Minor Provider, the following terms apply to you:
YOUR TEEN'S INDEPENDENT BUSINESS—YOUR OVERSIGHT.
a. You are consenting, not controlling. By co-signing, you are legally permitting your teen to operate a self-employed business on Village. You are not their boss—Village is not their boss either. They make the business decisions: which jobs to take, what to charge, how to do the work.
b. You are the legal account holder for payment. Because your teen is under 18, you will be the official Stripe account holder for receiving payments. Your teen's earnings appear in real time on their Village dashboard, but the bank account is in your name.
c. You will get notified for every job. You will receive real-time notifications whenever your teen accepts a job, completes a job, or receives payment. This is not surveillance—it is transparency. You stay in the loop without micromanaging.
d. Your teen owes self-employment tax. Even though they are young, they are self-employed. At year-end, they will owe federal self-employment tax on their earnings. We provide tools to help them (and you) understand what they owe and how to file. We can export their data directly to TurboTax so you can file correctly.
e. They are liable for their own work. If your teen damages a customer's property or a customer sues, that liability falls on your teen—and potentially on you as the parent, depending on the circumstances. We recommend discussing liability insurance with your insurance agent before your teen takes on bigger jobs.
f. You can revoke consent at any time. If you decide your teen should stop, you can withdraw co-signature consent. Their account will be closed and no new jobs can be accepted. Any pending payments for completed work will still be processed.
g. You are agreeing to these terms on their behalf. By co-signing, you are accepting Village's Terms of Service on your teen's behalf. These terms are legally binding.
8. Provider Obligations
As a Provider, you agree to:
- Maintain an accurate and complete profile, including truthful descriptions of your services, qualifications, and experience.
- Perform all services in a professional, safe, and lawful manner.
- Comply with all applicable federal, state, and local laws, regulations, licensing requirements, and permit requirements for the services you provide.
- Obtain and maintain any licenses, permits, certifications, or insurance required for your services in the jurisdictions where you operate.
- Respond to Customer inquiries and complete accepted jobs in a timely manner.
- Not discriminate against any Customer on the basis of race, color, religion, sex, national origin, disability, age, sexual orientation, gender identity, or any other protected characteristic.
- Not solicit Customers away from the Village platform to avoid platform fees.
- Accurately represent your pricing and not charge Customers outside the Village platform for work originally booked through Village.
We strongly recommend that all Providers carry general liability insurance appropriate for the services they perform.
9. Customer Obligations
As a Customer, you agree to:
- Provide accurate information about the services you need, including your location and any relevant details about the job.
- Treat Providers with respect and professionalism.
- Pay for services promptly through the Village platform as agreed.
- Not request services that are illegal, unsafe, or in violation of any applicable law.
- Not discriminate against any Provider on the basis of race, color, religion, sex, national origin, disability, age, sexual orientation, gender identity, or any other protected characteristic.
- Provide a safe working environment for Providers performing services at your property.
- Not solicit Providers for off-platform work to avoid Village platform fees.
10. Fees and Payments
Provider Fees
- Marketing Wallet: Providers fund a marketing wallet via Stripe with a minimum deposit of $15.00. Wallet funds are used to pay for lead impressions through Village's auction system.
- Impression Charges: When a Provider's card is delivered to a Customer, the Provider is charged their bid amount from their marketing wallet. Bid amounts are set by the Provider per service category.
- Subscription Fees (Pro Tier): Pro-tier subscriptions are available at $29.00/month (Running) and $79.00/month (Scaling). Subscriptions include access to quotes, invoices, transactional messaging, reminders, and a public storefront.
- Seat Fees: Additional team member seats are $5.00/month each.
- Zip Exclusivity: Exclusive placement in a zip code for a service category is $99.00/month.
- Platform Fee: Village charges a 10% platform fee on transactions processed through Village's escrow system.
Subscription Auto-Renewal and Cancellation
All subscriptions (Pro tiers, seat fees, and zip exclusivity) automatically renew on a monthly basis and you will be charged through your selected payment method (Stripe) at the beginning of each billing cycle. You may cancel any subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods. Price changes will be communicated at least 30 days in advance.
Customer Payments
Customers pay for services through Village's escrow system via Stripe. Payment is collected at the time of booking and held in escrow until the service is completed.
Wallet Refunds
Unused marketing wallet balances may be refunded upon account closure, less any outstanding impression charges or fees. Refund requests should be submitted to will@jobsonvillage.com.
General
All prices are in U.S. dollars. Village reserves the right to change fees with at least 30 days' advance notice. Continued use of Village after a fee change constitutes acceptance of the new fees.
11. Escrow and Payment Processing
All payment processing on Village is handled by Stripe, Inc. Village does not store your credit card numbers, debit card numbers, or bank account numbers.
By using Village's payment features, you also agree to Stripe's Terms of Service and Stripe's Connected Account Agreement, as applicable.
12. AI-Powered Services
Village uses artificial intelligence ("AI") to enhance the marketplace experience. Specifically:
- Lead Classification: When a homeowner texts the Village number or submits a service request, AI is used to classify the type of service needed, assess urgency, and identify the relevant service area.
- Conversational Responses: AI generates conversational text-message responses to homeowners during the service matching process.
- Provider Matching: AI-driven classification determines which Providers may be relevant to a Customer's request.
AI Limitations. AI technology is not perfect. Village does not guarantee that AI-driven classifications, matches, or responses will be accurate, complete, or error-free. Customers should independently verify Provider qualifications, licensing, and suitability. Village is not responsible for any errors, omissions, or inaccuracies in AI-generated content or classifications.
Homeowner message text is processed by our AI provider (Anthropic) for classification and response generation. See our Privacy Policy for details on how this data is handled.
13. Text Messaging Consent
Program Name: Village SMS Program
Program Description: The Village SMS Program delivers transactional and service-related text messages to Village platform users, including one-time verification codes (OTP), invoice and quote notifications, appointment reminders, booking confirmations, lead notifications, and account alerts. Messages are sent by Village Technology Services, LLC.
By texting the Village phone number, providing your phone number during account registration, or opting in to receive messages through the Village platform, you expressly consent to receive text messages from Village Technology Services, LLC. Messages may be sent via SMS, iMessage, or RCS. Consent to receive text messages is not a condition of purchasing any goods or services.
Types of Messages: You may receive transactional and service-related messages, including but not limited to: lead notifications, provider card deliveries, quote and invoice deliveries, appointment reminders, account notifications, verification codes, and AI concierge conversation responses.
Message Frequency: Message frequency varies depending on your activity on the platform. Homeowners receive messages during active service requests. Providers receive lead notifications and transactional messages based on their account activity.
Opt-Out: You can opt out of receiving text messages at any time by replying STOP to any message from Village. After opting out, you will receive one final confirmation message and no further text messages. Opting out of text messages may limit your ability to use certain features of Village.
Help: Reply HELP to any message from Village for support information, or contact us at will@jobsonvillage.com.
Message and Data Rates: Message and data rates may apply. Check with your wireless carrier for details about your messaging plan.
No Marketing Spam: Village will not send promotional or marketing text messages without your separate, explicit opt-in consent. All messages sent through Village are transactional or service-related.
Carrier Disclaimer: Carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission from your wireless carrier.
14. Intellectual Property
Village's Property. The Village platform—including its website, application, software, design, branding, logos, AI models, and all related content—is owned by Village Technology Services, LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on Village's intellectual property without our prior written consent.
Your Content. Providers retain ownership of the content they upload to Village, including profile descriptions, photos, portfolio images, and business information. By uploading content to Village, you grant Village a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute your content solely for the purpose of operating and promoting the Village marketplace. This license terminates when you delete the content or close your account, except for content that has been shared with other users or is retained for legal obligations.

- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Post false or misleading reviews or ratings.
- Circumvent, avoid, or attempt to avoid Village's platform fees by arranging off-platform payments for work originally facilitated through Village.

16. Dispute Resolution and Arbitration
Disputes Between Users
Village may, at its sole discretion, assist in resolving disputes between Customers and Providers, including disputes over the quality of services, payment, or escrow funds. However, Village is not obligated to resolve any disputes between users and is not liable for the outcome of any such dispute.
Disputes With Village — Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You and Village agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of Village (collectively, "Disputes") will be resolved through binding individual arbitration rather than in court, except that either party may bring claims in small claims court if they qualify.
Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted in English. The arbitrator's decision will be final and binding.
Class Action Waiver. You and Village agree that Disputes will be resolved on an individual basis only. Neither you nor Village may bring a claim as a plaintiff or class member in any class action, collective action, or representative proceeding.
Opt-Out. You may opt out of this arbitration agreement by sending written notice to will@jobsonvillage.com within 30 days of first accepting these Terms. Your notice must include your name, address, email, and a clear statement that you wish to opt out of arbitration. If you opt out, you and Village agree to resolve Disputes in the courts specified in Section 22.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
a. VILLAGE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. VILLAGE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
b. VILLAGE DOES NOT GUARANTEE THE QUALITY, SAFETY, LEGALITY, OR TIMELINESS OF SERVICES PERFORMED BY PROVIDERS. VILLAGE DOES NOT GUARANTEE THE ACCURACY OF AI-DRIVEN CLASSIFICATIONS OR RESPONSES. VILLAGE DOES NOT GUARANTEE THAT PROVIDERS WILL BE AVAILABLE IN YOUR AREA.
c. VILLAGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF VILLAGE, REGARDLESS OF THE THEORY OF LIABILITY.
d. VILLAGE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF VILLAGE SHALL NOT EXCEED THE GREATER OF (I) THE TOTAL FEES PAID BY YOU TO VILLAGE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (II) ONE HUNDRED DOLLARS ($100.00).
e. VILLAGE IS NOT LIABLE FOR ANY PROPERTY DAMAGE, PERSONAL INJURY, OR OTHER HARM RESULTING FROM SERVICES PERFORMED BY PROVIDERS. ALL SUCH LIABILITY RESTS WITH THE PROVIDER.
18. Indemnification
You agree to indemnify, defend, and hold harmless Village Technology Services, LLC and its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of Village.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Services you performed or received through Village.
- Any content you uploaded or submitted to Village.
- Your tax obligations, including failure to pay self-employment tax.
- For Parents/Guardians: your minor's use of Village and any services they perform.
19. Termination
By Village. Village may suspend or terminate your account at any time, with or without cause and with or without notice, if we reasonably believe you have violated these Terms or if your continued use poses a risk to Village, other users, or third parties.
By You. You may close your account at any time by using the account deletion feature in your account settings or by contacting will@jobsonvillage.com.
Effect of Termination. Upon termination:
- You will lose access to the Village platform and your account data (subject to our data retention policies described in our Privacy Policy).
- Any pending escrow transactions will be processed according to their terms before funds are released or refunded.
- Unused marketing wallet balances will be refunded to your original payment method, less any outstanding charges.
- Subscription fees already paid for the current billing period are non-refundable.
- Obligations that by their nature should survive termination (including indemnification, limitation of liability, and dispute resolution) will survive.
20. Account Deletion
You may request deletion of your account and personal data at any time by:
- Using the account deletion feature in your account settings, or
- Emailing will@jobsonvillage.com with the subject line "Account Deletion Request."
Upon receiving your request, we will delete your account and personal data within 30 days, except for data we are required or permitted to retain for legal, tax, or compliance purposes, including:
- Financial transaction records and 1099 data, which are retained for 7 years as required by the IRS.
- Records necessary for pending disputes or legal proceedings.
- Anonymized or aggregated data that cannot be used to identify you.
For Minor Providers, a parent or guardian may request account deletion on the minor's behalf. See our Privacy Policy for full details on data retention.
21. Modifications to Terms
Village may modify these Terms at any time. We will notify you of material changes by email or in-app notification at least 30 days before the changes take effect. Your continued use of Village after the effective date of any modification constitutes your acceptance of the updated Terms.
If you do not agree with the updated Terms, you must stop using Village and close your account before the changes take effect. The most current version of these Terms will always be available at jobsonvillage.com/legal/terms-of-service.
22. Governing Law
These Terms and any Disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles.
For any Disputes not subject to arbitration, you and Village agree to submit to the exclusive personal jurisdiction of the state courts located in New Castle County, Delaware, or the United States District Court for the District of Delaware.
23. General Provisions
Severability. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
Entire Agreement. These Terms, together with the Privacy Policy and Terms of Use, constitute the entire agreement between you and Village regarding your use of the platform and supersede all prior agreements and understandings.
Waiver. Village's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Assignment. You may not assign or transfer your rights or obligations under these Terms without Village's prior written consent. Village may assign its rights and obligations without restriction.
Force Majeure. Village shall not be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, or pandemics.
