1. Acceptance

By accessing or using the Village website, application, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Use, our Terms of Service, and our Privacy Policy.

If you do not agree to any of these terms, do not access or use Village.

These Terms of Use are a legally binding agreement between you and Village Technology Services, LLC, a Delaware limited liability company ("Village," "we," "us," or "our").

2. Description of Service

Village is a web and mobile platform that connects homeowners with local, independent service providers through AI-powered lead matching and marketplace tools.

Homeowners can describe a service need by texting the Village phone number or visiting a Provider's storefront. Village uses artificial intelligence to classify the request and delivers relevant Provider profiles ("cards") via text message. Providers use Village to receive leads, manage quotes and invoices, and grow their business.

Village is a technology platform and marketplace. Village does not perform home services, employ service Providers, or guarantee the quality of any services. See our Terms of Service for full details.

3. User Accounts

To access the full functionality of Village, you must create an account. You are responsible for:

  • Providing accurate and complete registration information.
  • Maintaining the security of your login credentials.
  • All activity that occurs under your account.
  • Maintaining only one account per person.

4. Acceptable Use

You agree to use Village only for its intended purpose and in compliance with all applicable laws. You agree not to:

  • Use Village for any illegal, harmful, or fraudulent purpose.
  • Attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Village platform.
  • Scrape, crawl, spider, or use any automated means to access Village or collect data from the platform without our written permission.
  • Interfere with or disrupt the operation, security, or integrity of the Village platform, including its servers, networks, or databases.
  • Impersonate any person or entity, or falsely claim an affiliation with any person or entity.
  • Upload, transmit, or distribute viruses, malware, spyware, or any other harmful or malicious code.
  • Circumvent, disable, or interfere with any security features of the platform.
  • Use Village to send unsolicited messages, spam, or promotional materials.
  • Attempt to access accounts, data, or systems that you are not authorized to access.
  • Use Village in any manner that could damage, disable, overburden, or impair the platform.

Village reserves the right to suspend or terminate access for any user who violates these acceptable use terms.

5. User-Generated Content

Providers and Customers may upload content to Village, including profile descriptions, photos, portfolio images, business information, reviews, and ratings ("User Content").

Your Responsibility. You are solely responsible for all User Content you upload. You represent and warrant that your User Content is accurate, does not infringe the rights of any third party, and does not violate any applicable law.

Content Standards. User Content must not be false, misleading, defamatory, obscene, threatening, harassing, discriminatory, or otherwise objectionable. Village reserves the right to remove any User Content that violates these Terms of Use, our Terms of Service, or that we determine, in our sole discretion, is harmful or inappropriate.

License to Village. By uploading User Content, you grant Village a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute your User Content solely for the purpose of operating and promoting the Village marketplace. This license terminates when you delete the content or close your account, except for content that has been shared with other users or that is retained for legal obligations.

No Obligation to Monitor. Village has no obligation to pre-screen, monitor, or edit User Content, but we reserve the right to do so at any time.

6. Text Messaging Terms

By texting the Village phone number or providing your phone number during registration or any other interaction with Village, you consent to receive text messages from Village Technology Services, LLC. Messages may be delivered via SMS, iMessage, or RCS.

Message Types. You may receive service-related messages, including:

  • Service matching notifications and Provider cards
  • Quotes and invoice deliveries
  • Appointment reminders
  • Account notifications and verification codes
  • AI concierge conversation responses

Message Frequency. Message frequency varies based on your activity on the platform.

Opt-Out. Reply STOP to any message from Village to opt out of receiving text messages at any time. You will receive one final confirmation message. Opting out may limit your ability to use certain features of Village.

Help. Reply HELP to any message from Village for support, or contact will@jobsonvillage.com.

Message and Data Rates. Standard message and data rates from your wireless carrier may apply. Village is not responsible for carrier charges.

No Marketing SMS. Village will not send promotional or marketing text messages without your separate, explicit opt-in consent.

Carrier Disclaimer. Carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission from your wireless carrier and is not guaranteed.

7. Subscriptions and Auto-Renewal

Village offers the following subscription plans for Providers:

Auto-Renewal. All subscriptions automatically renew on a monthly basis. You will be charged through your selected payment method (processed by Stripe) at the beginning of each billing cycle.

Cancellation. You may cancel any subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will continue to have access to subscription features until the end of the period you have already paid for.

No Partial Refunds. No refunds are provided for partial billing periods. If you cancel mid-cycle, your subscription will remain active until the end of the current billing period.

Price Changes. Village reserves the right to change subscription pricing. We will provide at least 30 days' advance notice of any price changes. Continued subscription after the effective date of a price change constitutes acceptance of the new pricing.

Free Trial. If Village offers a free trial, you will be notified of the trial duration and the subscription price that will apply when the trial ends. You may cancel before the trial ends to avoid being charged.

8. Intellectual Property

All content, features, and functionality of the Village platform—including but not limited to the website, application, software, design, branding, logos, trademarks, trade names, AI models, algorithms, and documentation—are owned by Village Technology Services, LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not use the Village name, logo, or any Village trademarks without our prior written consent. You may not copy, modify, distribute, sell, lease, or create derivative works based on any part of the Village platform.

9. Third-Party Links and Services

Village integrates with and may contain links to third-party services, including but not limited to Stripe (payment processing), Google (OAuth and Places), Anthropic (AI services), and others.

These third-party services are governed by their own terms of service and privacy policies. Village is not responsible for the content, practices, or availability of any third-party service. Your use of third-party services is at your own risk.

Links to third-party websites or services do not constitute an endorsement by Village.

10. Disclaimers

THE VILLAGE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, VILLAGE DOES NOT WARRANT OR REPRESENT THAT:

  • The quality, safety, legality, or timeliness of services performed by Providers will meet your expectations or requirements.
  • AI-powered classifications, matches, or responses will be accurate, complete, or error-free.
  • Providers will be available in your geographic area or for your specific service need.
  • The platform will be uninterrupted, secure, or free of errors, viruses, or other harmful components.
  • Any information provided by Providers (including qualifications, licensing, and insurance) is accurate or current.

Village does not endorse any Provider. The inclusion of a Provider on the Village platform does not constitute a recommendation, endorsement, or guarantee by Village.

Customers are responsible for independently verifying Provider qualifications, licensing, insurance, and suitability before hiring.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

a. VILLAGE TECHNOLOGY SERVICES, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF USE, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE VILLAGE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF VILLAGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

b. VILLAGE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OF USE OR YOUR USE OF VILLAGE SHALL NOT EXCEED THE GREATER OF (I) THE TOTAL FEES PAID BY YOU TO VILLAGE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED DOLLARS ($100.00).

c. VILLAGE IS NOT LIABLE FOR ANY PROPERTY DAMAGE, PERSONAL INJURY, OR OTHER HARM ARISING FROM SERVICES PERFORMED BY PROVIDERS. ALL SUCH LIABILITY RESTS SOLELY WITH THE PROVIDER WHO PERFORMED THE SERVICES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, VILLAGE'S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

12. Governing Law and Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles.

For any disputes not subject to the arbitration provision in our Terms of Service, you and Village agree to submit to the exclusive personal jurisdiction of the state courts located in New Castle County, Delaware, or the United States District Court for the District of Delaware.

13. Severability

If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the invalidity of that provision shall not affect the validity of the remaining provisions, which shall continue in full force and effect.

14. Entire Agreement

These Terms of Use, together with the Terms of Service and Privacy Policy, constitute the entire agreement between you and Village Technology Services, LLC regarding your use of the Village platform and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.
